Corporate governance

Owner
Locum AB was established in 1992 and is wholly owned by the Stockholm County Council through the holding company Landstingshuset i Stockholm AB. The company was established for the purpose of allowing the healthcare providers to concentrate on their core activities and to combine the management of real estate matters under a professional property manager.

The County Council owns a large property portfolio, which represents a substantial portion of their overall assets. The County Council has entrusted Locum with the management and development of this portfolio.

The Council’s properties are carried as assets in a separate profit centre within the County Council, Stockholm County Council Real Estate (LFS), in which the revenue, costs and earnings are reported. Locum’s duties include responsibility for LFS’s management and accounting.

Operations
Locum’s Articles of Association state that its purpose is to own and manage its own properties, to manage properties belonging to Stockholm County Council and bodies affiliated with the County Council, and to provide related services.

County Council financed healthcare operations are given priority as tenants over operations such as privately financed care. Healthcare units owned by the County Council are not under any obligation to choose Locum as a landlord, although premises owned by the County Council should be given first preference.

Part of the management task involves adapting the premises to the tenants’ requirements. Construction services for the projects are then procured by competitive tender on the open market. Even the technical management of the properties is subjected to competitive tender.

Locum leases premises on the external market on behalf of the County Council. These are mostly premises used for healthcare that is not linked to the major hospitals, and for which the County Council does not have suitable premises of its own. The County Council also leases premises on the external market. Premises leased by Locum represent thus only a portion of the County Council’s portfolio of leased premises.

Tenants are also offered other property-related services, so-called Facility Management Services or Value-Added Services, so that they can use their resources to concentrate on their core activities. Locum procures services on a competitive basis on the open market. Examples of such services include reception services and general cleaning at community hospitals, management and service of healthcare-related UPS functions, and on-premises networks.

Norms and principles
Locum AB’s corporate governance is based on the Swedish Companies Act and Local Government Act. The organization Sweden’s Municipalities and Counties have prepared principles for the management of enterprises owned by the municipalities and counties. The principles are based on the Swedish Code of Corporate Governance, and the aim is to promote the importance of management to legitimacy, fitness for purpose and efficiency in companies owned by the municipalities and counties.

Locum observes these principles, as well as the Stockholm County Council’s ownership policy and corporate governance principles, general and specific owner directives, articles of association, work organisation routines and code of practice for the board.

Ownership policy, Corporate government principles and General owner directives
The County Council’s owner role is defined in the ownership policy and through the corporate governance principles that apply to limited companies owned by the Stockholm County Council. The framework and relationships between the County Council as the owner and the respective limited companies are described therein. Management is exercised primarily through:

  • formulation of the articles of association
  • general and specific owner directives
  • board of directors
  • ongoing dialogue between the owner representatives, board of directors and company management
It is stated in the general owner directives that companies and committees shall consider the benefit to the group and avoid sub-optimisation with regard to the County Council’s tasks. It is also stated therein that all the companies owned by the County Council shall observe all of the County Council’s policies, as well as the joint investment process.

Board members appointed by the owner are responsible for ensuring that the owner’s intentions are realised. The board of directors shall ensure that the ownership policy is observed and that internal guidelines are established that are adapted to the company.

Management agreement
A management agreement (1993) and supplemental agreement (2001) between the County Council and Locum AB regulates how the County Council properties should be managed and the management fee to be paid for this.

Goals and duties
The financial requirements for Locum AB and LFS are established every year by the councillors in conjunction with decisions about the budget for the coming year. Coming operational assignments to be handled during the year are also determined in this connection.
